Meeting Minutes
January 25, 2021

“These minutes of the Town of Carroll Select Board have been recorded by its Secretary. Though believed to be accurate and correct they are subject to additions, deletions and corrections by the Select Board at its next meeting when the Board votes its final approval of the minutes. They are being made available at this time to conform to the requirements of New Hampshire RSA 91-A:2.”

Due to the COVID-19/Coronavirus crisis and in accordance with Governor Sununu’s Emergency Order #12 pursuant to Executive Order 2020-04, this Board is authorized to meet electronically and did so through Zoom.

The meeting was called to order at 7:00 p.m. by Chairperson Gauthier.

Pledge of Allegiance.

The Chair stated he had not had a chance to approve and sign manifests. Selectperson Scalley hadn’t either. Both said they would do so following the meeting. Selectperson Moroney said she had already reviewed and signed them.

Selectperson Moroney made a motion to approve the minutes of 1/20/2021 as written. Selectperson Scalley seconded and the motion passed unanimously.

The Board reviewed a Tax Map Maintenance proposal from CAI Technologies. The Secretary advised the Board there is a $100 increase over last year. Selectperson Scalley made a motion to approve and sign. Selectperson Moroney seconded and the motion passed unanimously.

The Board reviewed a maintenance agreement from VHV. Chairperson Gauthier said the contract is $7,000 for two major and two minor inspections. Selectperson Scalley said the warranty on the new buildings will be expiring in June. Chairperson Gauthier asked if the inspections are recommended or if they are preventative maintenance. Imre Szauter said the two major inspections include pressure testing. The two minor inspections include fluid and filter changes. Imre feels the inspections are important to preserve systems in the building long-term. He said this includes everything except sprinklers and the generator and those are covered by other contracts. He said this is the air handlers, ERV, boilers, hot water heater boilers and Modine heaters. Selectperson Scalley said he feels that someone should be checking our systems for us but does feel it’s a lot of money. It was stated that parts and labor for repairs are not covered by the contract. There will be a charge for time and materials. The purchase of filters is also not covered as we stated we would supply them ourselves. Selectperson Scalley said he’s concerned that if we are supplying our own filters, we have to make sure we have them in stock and that they are the correct ones. Scalley also asked about changing the contract start date to June 1. Imre Szauter suggested having one inspection done while everything is still under warranty so if something is wrong it can be fixed under Ricci Construction. It was agreed to request April 1 as the contract start date. Selectperson Scalley made a motion to approve the maintenance proposal for $6968 with the start date changed to April 1st and the Board to sign when the changes are made. Chairperson Gauthier pointed out that there is only one signature spot. Selectperson Scalley amended his motion that the Chair sign when the contract is available. Chairperson Gauthier seconded and the motion passed unanimously.

The Board reviewed paperwork from Bretton Woods Telephone. Chief Bailey said with the new State accreditation, the Police Department needs to have a static IP address. Quotes were prepared by BW Telephone. In speaking with them, the Chief found out the maintenance contract had expired and had new paperwork prepared as well. He had requested additional paperwork for the Town Hall and Fire Department but that wasn’t available. Chief Bailey said the static IP address will allow them more functions through dispatch and can do more work on the computer in the cruisers. This will save time in events such as car accidents where the officer can start working on the report while waiting for a wrecker. Courts should be coming on line soon too and that will also make things easier. There were questions about the contracts for all the buildings and Josh Robertson, from BW Telephone, joined the meeting for the discussion. Josh stated that the maintenance agreement covered 26 units for a total of $3900 for the year. The Board requested that he send documents to the Secretary and they would continue the conversation at another meeting after they had the opportunity to review the paperwork on the all buildings. Chief Bailey asked if he could move forward with getting the static IP address as having one is required for a grant he is submitting. Selectperson Scalley asked when the grant deadline was. Bailey said the end of February. The Board advised him to wait.


Follow Up:

Tax Deeded Property – Rte. 3 North – The Board reviewed communications about a possible agreement with the State due to their lien. Selectperson Scalley said if the Town agrees, when the property is sold, we will be accepting a 70/30 split with the State in our favor and both parties acknowledge they’ll be taking a loss. It is also recommended to sell the property by open bid. The Town is owed roughly $12,000 and the State is owed $22,000. Selectperson Scalley asked what was meant by open bid. The Secretary said in her conversation with the attorney he meant don’t list the property and set a minimum bid price in this specific case. He said consider any offers that come in. The Board also agreed with placing a contingency on the sale that will require that the buyer has to remove the building. The Secretary was asked to speak with the attorney to have something drawn up for their review to discuss the sale.

Sick Time – Chairperson Gauthier said he’d like to discuss it in non-public about compensation.


Other:

The Secretary said she had included in the Board’s packet a copy of a certified letter received for the Planning Board Appeal. Chairman Gauthier acknowledged it and announced the ZBA Notice of Public Hearing on February 11, 2021 at 7:00 p.m.

The Secretary also advised the Board she had sent them an email earlier in the day from All-State insurance who wanted to set up a sales meeting with the Board about voluntary insurance. The Board members said they hadn’t had a chance to look at it.

The Secretary also advised the Board of another opening on the Planning Board. She stated that a member had resigned that day.

Chairman Gauthier announced that Deliberative Session would be held Tuesday, February 2, 2021 at 6:30 p.m. at the Fire Station. The Select Board will meet immediately following to vote on recommendations should there be any changes to warrant articles.

At 7:57 p.m., Chairperson Gauthier made a motion to go into non-public session per RSA 91-A:3 II (l) legal. The motion was seconded by Selectman Scalley and polled; Gauthier – yes, Scalley – yes, Moroney – yes.

At 9:16 p.m. Chairperson Gauthier made a motion to return to public session and seal the minutes. Selectperson Scalley seconded and the motion passed unanimously.

Chairperson Gauthier made a motion to adjourn the meeting. Selectperson Scalley seconded and the motion passed unanimously. Chairman Gauthier declared the meeting ended at 9:17 p.m.
