Meeting Minutes
April 15, 2019


“These minutes of the Town of Carroll Select Board have been recorded by its Secretary. Though believed to be accurate and correct they are subject to additions, deletions and corrections by the Select Board at its next meeting when the Board votes its final approval of the minutes. They are being made available at this time to conform to the requirements of New Hampshire RSA 91-A:2.”

Board members present: Bonnie J. Moroney, David A. Scalley, Robert W. Gauthier, Jr.,

Members of the Public Present: Maryclare H. Quigley, Tadd Bailey, Jeremy Oleson, Imre Szauter, Mike Gooden, Annette Marquis

The meeting was called to order at 7:02 p.m. by Chairwoman Moroney.

Pledge of Allegiance.

The Chair announced the approval and signing of the manifests.

Chairwoman Moroney advised this meeting was called to approve the financing for the Municipal Building Project. Mr. Allan Clark, Project Manager, was called and placed on speaker phone (due to not being able to attend in-person). He recommended that the town choose Bank of New Hampshire for the lender. Mr. Clark and the Town of Carroll both have good professional relationships with the bank. RFP’s went to several banks and Bank of New Hampshire came in with the lowest fixed interest rate of 2.99% for the entire length of the loan, 21 years.

Selectman Gauthier made a Motion to: Accept the proposal to finance the Municipal Building Project with the Bank of New Hampshire. Selectman Scalley seconded and the Motion passed unanimously.

Mr. Clark then stated the Board would need to determine if the town would like to do monthly, quarterly, semi-annually or annual payments once the project is complete with a 20-year amortization schedule. Selectmen Scalley asked that if payments are made more frequently, would that reduce the amount of interest that is paid. Mr. Clark confirmed it would reduce it.

Selectman Scalley made a Motion to: Make monthly payments. Selectman Gauthier seconded and the Motion passed unanimously.

Mr. Clark also asked that Board authorize him to negotiate details with Bank of New Hampshire to finalize any loose ends so that the Board and Legal Counsel can review and approve all final documents and expedite the process. He also asked that they authorize him to contact the town’s Legal Counsel to prepare any documents that Bank of New Hampshire may need.
Selectman Scalley made a Motion to: Authorize Allan Clark to negotiate with the Bank and to reach out to the town’s Legal Counsel as long as the Board would have the final say in decisions. Selectman Gauthier seconded and the Motion passed unanimously.

Allan thanked the Board for their time and stated that he is excited that this is moving forward with such great momentum. He reminded everyone that Civil Engineering proposals are due at the end of the week and that as soon as he receives the signed financing proposal back from the Board, he would notify the Bank of their choice.

Selectman Scalley made a Motion for: Chairwoman Moroney to sign the proposal on behalf of the Town and the Taxpayers. Selectman Gauthier seconded and the Motion passed unanimously.

Property Tax Abatements – Hotchkiss, Stuart & Brenda; Jamijian, Henry; Picconi, Alfred &
Jean
Water Abatement – State of New Hampshire
Current Use Application – Cardoza, Manuel
Certification of Yield Taxes – Royle; Hogan, M.

Annette Marquis, Treasurer, let the Board know that we are currently around $350,000.00 behind where we were last year at this time. She is asking that they notify all Department Heads that they be mindful of their spending until the next round of tax bills are issued. Selectman Scalley acknowledged this and said they would make sure all Department Heads are aware.

Chairwoman Moroney announced the next meeting will be Monday, April 22, 2019.

As there was no further business, the Board was polled and went into non-public session, per RSA 91-A:3 for Personnel at 7:20 p.m. Chairwoman Moroney, yes; Selectman Scalley, yes; Selectman Gauthier, yes.

At the close of non-public session at 7:30 p.m., Chairwoman Moroney moved to return to public session and seal the minutes from non-public session. Selectman Scalley seconded and the Motion passed unanimously.

There being no further discussion, Chairwoman Moroney made a Motion to adjourn the meeting. Selectman Scalley seconded and the Motion passed unanimously. Chairwoman Moroney declared the meeting ended at 7:31 p.m.
